As the head of legal Affairs the incumbent provides legal services and counsel on a wide range of legal issues to assist in fulfilling operational and fiduciary responsibilities towards the bank, its shareholders and other beneficiaries as well as record and minimise Ethical violations in the workplace and ensure that the employees are well aware of the ethics and code of conduct policies. Additionally, the person is responsible to minimize the legal risks by advising the management and board members on major legal and regulatory issues that may occur.

 

The incumbent is responsible to act as the company secretary for the efficient administration of a company, particularly with regards to ensuring compliance with statutory and regulatory requirements and for ensuring that decisions of the board of directors are implemented.



Key Responsibilities:


  1. Direct Legal Division activities including long and short-term planning, development and presentation of legal opinions and collaborate with outside attorneys on bank related matters.
  2.  Provide expert advice on legal matters and ensure that activities of the bank are legally supported and in accordance with country law and regulations.
  3.  Manage the bank’s litigation portfolio.
  4. Ensure the issuance of legal notices and responses are timely on behalf of the bank.
  5. Act as a company secretary, preparing minutes of all board and committee meetings and managing board and committee governance matters.
  6.  Facilitate the Board self-assessment process, maintain statutory books and coordinate with Board of Directors as well as arrange meeting in accordance with the local laws.
  7.  Carry out assessment of ethics investigation report as well as review all evidence independently.
  8. Ensure compliance by the bank with best corporate governance practices including risk identification and mitigation.
  9.  Provide expert guidance / trainings to all bank employees as well as external vendors regarding code of conduct and ethical business activities.
  10. Contribute to meeting discussions as and when required, advise members of the legal governance, accounting and tax implications of proposed policies.
  11.  Ascertain that allotment, issuance and transfer of share certificates, mortgages and charges are in compliant with the legal requirements.
  12.  Ensure that bank is compliant with State Bank of Pakistan rules and regulations.
  13.  Facilitate SBP’s inspections teams on all Governance and Legal matters pertaining to the bank.
  14.  Ensure that accurate copies of all relevant information are provided to the inspection team in a timely manner.
  15.  Ensure filing of various documents / returns with the registrar / CDC / Security of Exchange Commission of Pakistan as required under the provision of companies’ ordinance.
  16.  Ascertain that high level secrecy is maintained for all important matters related to the bank and assess legal documents to ensure legal protection of the bank.
  17.  Ensure the reduction of turnaround time in providing legal opinions, drafting and vetting of agreements of business partners.
  18. Coordinate with panel of external counsel for the preparation of plaints/responses and keep them up to date when needed.
  19.  Carry out any other task assigned by Chief Executive Officer and the Board.

Qualification & Experience:


Masters + Specialized Certification/Degree (LLB, LLM)

Minimum 10 – 12 years of relevant experience, Must have experience of Corporate Institutions and Legal practice.
